Terms of Purchase

By proceeding with this purchase you agree to purchase, subject to the following terms, a non-transferable license to the “Trial Lawyer Protection Packet” from Settlement Professionals, Inc. (“SPI”), in consideration for $500.

1. Relationship. You understand and agree that SPI is not a law firm or accounting firm, cannot perform legal or tax services, and that the licensed materials are not a substitute for the advice or services of an attorney or tax advisor. No attorney-client relationship or privilege is created with SPI by reason of my purchase. You acknowledge that SPI is not a registered or bonded legal document assistant under California Business and Profession Code, sections 6400 et seq.

2. License. SPI grants you a nonexclusive nontransferable right to use (or edit and use) the licensed materials only in representing clients in your legal practice. You may also share these materials with persons employed by your law firm (if any) for use in representing clients in your legal practice, subject to the restrictions of these terms, provided that you prevent such persons from using or sharing materials in a manner other than that which you are allowed pursuant to the preceding sentence. You may not otherwise (i) license, sublicense, sell, resell, transfer, assign, distribute, or otherwise make available to any third party the materials, or (ii) modify, reproduce, or make derivative works based on, referring to, or exploiting the materials, except for modifications to the documents for your personal use. All rights not expressly granted to you are reserved by SPI.

3. No Guarantee. SPI does not guarantee that the materials provided are suitable for a particular purpose, including satisfying your state bar association’s rules on professional conduct or your obligations to clients, or that any information in the marketing materials provided is complete or updated. The materials are provided for informational and template purposes only and should not be relied upon as legal advice. If used you should review and modify them based on your legal expertise or that of your attorney.

4. Limitation of Liability and Indemnification. EXCEPT AS PROHIBITED BY LAW, YOU SHALL HOLD SPI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR DAMAGES OF ANY KIND (INCLUDING ATTORNEY FEES, COSTS AND EXPENSES) IN CONNECTION WITH YOUR PURCHASE AND USE OF THE LICENSED MATERIALS (OR USE BY ANY PARTY WITH WHOM I SHARE THE MATERIALS). EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF SPI, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND UNDER NO CIRCUMSTANCES SHALL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. THIS PARAGRAPH DOES NOT APPLY TO NORTH CAROLINA CONSUMERS.

5. Miscellaneous.

i. You agree to these terms effective at the time you proceed with this purchase.

ii. By processing my electronic purchase SPI agrees to these terms.

iii. These terms represent the entire understanding between you and SPI relating to the licensed materials.

iv. If any language in these terms is held invalid with respect to either party, such language shall be deemed severable from the remainder with respect to such party and these terms shall be valid and interpreted as consistent with its intentions as much as possible. No delay or partial exercise of any right or remedy arising from these terms shall constitute a waiver of such right or remedy.

v. This purchase, these terms, and this agreement is made subject to and shall be construed under the laws of the State of Delaware, without reference to conflicts of law principles. SPI and you irrevocably submit (to the fullest extent permitted by applicable law) to the non-exclusive jurisdiction of any Oregon state or federal court sitting in Portland, Oregon, over any action or proceeding relating to these terms. SPI and you irrevocably waive, to the fullest extent permitted by law, any objection to the jurisdiction or venue in any such court or right to remove to another venue or jurisdiction.
